1. Supplier-Only Role

• We act solely as a supplier and distributor of water-treatment membranes, filters, spare parts, and related equipment.
• We are not the manufacturer of most products sold. Any manufacturer defect, warranty, or design issue is the responsibility of the original manufacturer.
• We will assist customers in processing warranty claims with the manufacturer where possible, but we are not responsible for manufacturer decisions.

2. Quotes & Orders

• All quotes are valid for 30 days unless otherwise stated.
• By accepting a quote or placing an order, you agree to be bound by these Terms and our Return & Refund Policy.
• Orders are subject to product availability and acceptance by us.

3. Pricing & Payment

• Prices are listed in U.S. Dollars and may change without notice until an order is confirmed.
• Payment must be made in full before shipment unless otherwise agreed in writing.
• Any sales tax, shipping, duties, or fees will be added where applicable.

4. Shipping & Delivery

• Delivery times are estimates only. We are not responsible for delays caused by carriers, customs, or force majeure events.
• Risk of loss passes to the buyer once the carrier accepts the shipment.

5. Returns & Refunds

• Returns are governed by our Return & Refund Policy, which is incorporated by reference into these Terms.
• Certain items (opened consumables, custom orders, chemicals) are not returnable.
• Restocking fees may apply.

6. Warranties & Liability

• Except where expressly stated, we make no warranties, express or implied, including merchantability or fitness for a particular purpose.
• Manufacturer warranties apply where provided; claims must be directed to the manufacturer.
• Our liability is limited to the purchase price paid for the product. We are not liable for indirect, incidental, or consequential damages (including downtime, water damage, loss of profits, or labor costs).

7. Use of Products

• Buyer is responsible for proper selection, installation, and use of all products.
• We are not responsible for damages arising from misuse, improper installation, or operation outside of manufacturer specifications.

8. Intellectual Property

• All website content, trademarks, and product information remain the property of their respective owners and may not be copied or reproduced without permission.

9. Governing Law

• These Terms are governed by and construed under the laws of the State of California, USA, without regard to conflict-of-law rules.
• Any disputes shall be resolved in the state or federal courts located in California.

10. Changes to Terms

• We may update these Terms at any time. The latest version will always be posted on our website.
